Terms and Conditions

1. Terms and Definitions

In this Offer, unless the context otherwise requires, the following terms shall have the meanings ascribed to them below and shall constitute an integral part hereof:

  • "BD RETAIL GROUP" Online Trading Company: "BD RETAIL GROUP" LLC, apt. 1, 51, 53 Hanrapetutyan Str./Sh/, Kentron 0010, Yerevan, Armenia.

  • Online Store: The online clothing retail website of "BD RETAIL GROUP" accessible at the internet address: https://offprice.am.

  • Product (or Goods): The subject matter of the agreement between the Parties, displayed in the assortment list within the Online Store.

  • Order: A properly placed request by the Buyer for the purchase and delivery of Products selected in the Online Store.

  • Website Visitor: Any individual who accesses the Website for the purpose of placing an online Order at https://offprice.am.

  • Seller: The company which, pursuant to the current official agreement, has the right to sell Products in the Online Store and is one of the Parties to this Offer.

  • Buyer: A physical person (individual) who intends to order or purchase, or who is ordering or acquiring the Product (clothing, accessories).

  • Customer: A Website Visitor or a Buyer who acts as the second Party to the active Offer.

  • Sales Rules: The "Public Offer" regarding the rules of product sales across the online stores of "BD RETAIL GROUP".

  • Product Discount: A discount provided for a specific Product for a specified period of time. The amount of the discount is indicated on the Product page.

2. General Provisions

2.1 This Public Offer (hereinafter referred to as the "Agreement") constitutes the official offer of the Seller addressed to any physical person possessing full legal capacity and the necessary authority to enter into an agreement with the Seller under the terms and conditions specified herein, and encompasses all essential terms of the agreement.

2.2 Relations in the field of consumer protection shall be governed by the legislation of the Republic of America, specifically by the provisions of the Civil Code of the Republic of Armenia and the Law of the Republic of Armenia "On the Protection of Consumer Rights".

3. Registration on the Website

3.1 The Buyer or Website Visitor, hereinafter referred to as the Customer, may register on the Website. To register on the Company's website or to place an order by any other means, you must be over 18 years of age. You acknowledge and warrant that the information provided during or after registration is accurate and complete.

Upon registration, a Personal Account is created for the Customer, which stores the history and status of the Buyer's orders, the Buyer's personal discount, contact details, delivery address, and the Customer's inquiries addressed to the Seller. In this regard, the Customer is entitled to register on the Website only once, meaning they may possess only one Personal Account.

3.2 The Seller shall not be held liable for the accuracy and clarity of the information provided by the Customer during the registration process.

3.3 A Customer who registers in the Online Store receives individual identification by providing a username and password. Individual identification of the Customer prevents unauthorized actions by third parties on behalf of the Customer and unlocks additional services. Transfer of the username and password by the Customer to third parties is strictly prohibited.

3.4 The Customer shall bear sole responsibility for all possible negative consequences in the event that the username and password are transferred to third parties.

3.5 The Buyer can view the price of the item in the product list, taking into account their personal discount, after website authentication (logging in with their username and password). The Customer's regular discount is linked to a specific Personal Account, as it is calculated based on purchases made through it. In the event of re-registration on the Website, the purchase history and the loyal customer discount are not transferred from the old Personal Account to the new one. Order statistics for a new personal account shall start from scratch. The Buyer may use the discount exclusively through the Personal Account in which it was accumulated.

4. Subject Matter of the Agreement and Product Price

4.1 Upon entering into a product purchase and sale relationship, the Seller shall sell, and the Buyer shall fully accept and pay for the ordered Products in accordance with the terms and conditions of this Agreement.

4.2 Ownership rights to the ordered Products shall pass to the Buyer from the moment the latter pays the full value of the products. The risk of accidental loss of or damage to the Products shall pass to the Buyer from the moment the Product is delivered to the Buyer. Delivery of the Products to the Buyer is confirmed by a document certifying the acceptance of the product, which constitutes the actual transfer of the product from the Seller to the Buyer.

4.3 Product prices are determined by the Seller and are specified on the pages of the online stores.

4.4 The price of the Product is indicated in Armenian Drams (AMD) and includes Value Added Tax (VAT).

5. Moment of Conclusion of the Agreement

5.1 The text of this Agreement constitutes a public offer (pursuant to Article 453 of the Civil Code of the Republic of Armenia).

5.2 The terms of the Agreement regulating the purchase and sale relations of Products shall come into force from the moment the Buyer places an order for the Product in accordance with this Offer or the terms of use.

5.3 The Buyer shall order the Products in accordance with the actions specified in the "How to Place an Order" section; direct link to the section: _____________________

5.4 The agreement concluded on the basis of the Customer's acceptance of this Offer constitutes an adhesion contract (contract of adhesion), to which the Customer accedes without any exceptions and/or reservations.

5.5 The fact of placing an order by the Buyer constitutes an unconditional acceptance of the terms and conditions of this Agreement by the Buyer. A Buyer who has acquired products in the Seller's Online Store shall be deemed a person entering into a purchase and sale relationship with the Seller under the terms and conditions of this Agreement.

6. Rights and Obligations of the Parties

6.1 The Seller undertakes to:

  • 6.1.1 From the moment of conclusion of this Agreement, fully ensure the fulfillment of all obligations assumed toward the Customer in accordance with the terms of this Agreement and applicable legislation. The Seller reserves the right to waive its obligations under the Agreement in the event of Force Majeure circumstances as specified in Clause 9 of this Agreement.

  • 6.1.2 Process and ensure the confidentiality of the Customer's personal data in the manner prescribed by the applicable legislation of the Republic of Armenia.

  • 6.1.3 By accepting this offer (its acceptance), the Customer agrees to and authorizes the Seller to process their personal data, including surname, first name, patronymic, date of birth, gender, postal address, home, work, and mobile telephone numbers, and email address. This includes collection, systematization, accumulation, storage, clarification (updating, modification), use, distribution (including transfer within the territory of the Republic of Armenia and cross-border transfer), depersonalization, blocking, and destruction of personal data, as well as its transfer to the Seller's partners for the purpose of conducting research aimed at improving service quality, marketing programs, and statistical research, as well as promoting services in the market by establishing direct contact with the Customer using various means of communication, including but not limited to: postal mail, email, telephone, facsimile, and the Internet.

    The Customer agrees to and authorizes the Seller and the Seller's partners to process the Customer's personal data using automated database management systems, as well as other software tools specifically developed on behalf of the Seller. The Customer has the right to request from the Seller complete information regarding their personal data, its processing, and use, as well as to request the deletion or correction/completion of incorrect or incomplete personal data by sending a corresponding written request addressed to the Seller at the Postal Address. The consent given by the Customer regarding the processing of their personal data is indefinite and may be revoked by sending a written application by the Customer to the Seller at the postal address.

6.2 The Seller has the right to:

  • 6.2.1 Unilaterally modify this Agreement, the prices of the Products, tariffs for related services, and the methods and terms of payment for the Products by posting them on the pages of the Online Store. All modifications shall take effect immediately upon publication and shall be deemed brought to the Customer's attention from the moment of such publication.

  • 6.2.2 Record telephone conversations with the Customer. In accordance with the legislation of the Republic of Armenia, the Seller undertakes to prevent attempts of unauthorized access to information and/or its transfer to persons not directly involved in the execution of Orders, and to detect and suppress such facts in a timely manner.

  • 6.2.4 Send promotional and informational messages to the Customer via email containing information about discounts, promotions, etc. The frequency of such mailings shall be determined by the Seller independently and unilaterally.

6.3 The Buyer undertakes to:

  • 6.3.1 Prior to the conclusion of the Agreement, familiarize themselves with the content and terms of the Agreement, as well as the prices of the products offered by the Seller in the Online Store.

  • 6.3.2 Provide all necessary data that uniquely identifies them as the Buyer and is sufficient for the delivery of the ordered Products to the Buyer.

  • 6.3.3 Pay for the ordered products in accordance with the terms of this Agreement and the provisions of the "Payment Methods" section.

6.4 The Customer has the right to:

  • 6.4.1 To opt out of receiving mailings, click "Unsubscribe" in the "Personal Account" section.

7. Delivery and Payment of Products

8. Withdrawal of the Offer

The withdrawal of the Offer (Agreement) may be executed by the Seller at any time, but such withdrawal shall not constitute grounds for refusing the Seller's obligations under agreements already concluded.

9. Force Majeure

Each of the Parties shall be exempt from liability for full or partial failure to perform its obligations under this Agreement if such failure is caused by Force Majeure circumstances arising after the entry into force of this Agreement. "Force Majeure circumstances" mean extraordinary events or circumstances that the Party could not foresee or prevent by means available to them. Changes in applicable legislation or regulations that directly or indirectly affect either Party shall not be considered Force Majeure.

10. Liability of the Parties

10.1 For non-performance or improper performance of the terms of this Agreement, the Parties shall bear liability in accordance with the legislation of the Republic of Armenia.

10.2 All textual information and graphic images, including photographs and videos posted in the Online Store, are protected by copyright. Unlawful use of this information and images shall be prosecuted in accordance with the applicable legislation of the Republic of Armenia.

11. Miscellaneous Terms

11.1 All disputes arising out of or in connection with the non-performance or improper performance of their obligations under this Agreement shall be resolved by the Parties through negotiations.

11.2 If no agreement is reached during the negotiations, disputes shall be resolved in court in accordance with the applicable legislation of the Republic of Armenia.
